Terms of Service

1. Acceptance of Terms

By accessing or using TalkLog ("the Service"), operated by TalkLog ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

TalkLog is a SaaS platform designed for professional coaches and therapists. The Service provides:

• Client management and profile tracking.
• Session audio upload and transcription with speaker diarization.
• AI-powered session analysis, including goal tracking, competency assessment, and coaching insights.
• Voice note transcription for quick session notes.
• Client intake and onboarding workflows.

The Service is provided "as is" and we make no guarantees about uninterrupted availability or the accuracy of AI-generated analysis. AI outputs are intended as supplementary tools and do not constitute professional advice.

3. Account Registration

To use the Service, you must create an account using Google OAuth. You are responsible for maintaining the security of your account and for all activities that occur under your credentials. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account and use the Service.

4. User Obligations

When using the Service, you agree to:

• Obtain all necessary consents from your clients before uploading session recordings for transcription and analysis.
• Comply with all applicable laws and regulations, including data protection and privacy laws relevant to your jurisdiction and practice.
• Not use the Service for any unlawful purpose or in violation of professional ethics standards.
• Not attempt to reverse-engineer, decompile, or extract source code from the Service.
• Not interfere with or disrupt the integrity or performance of the Service.
• Not upload content that is harmful, abusive, or violates the rights of others.

5. Payment Terms

5.1 Subscription Plans

The Service offers free and paid subscription tiers. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

5.2 One-Time Credit Purchases

You may purchase additional session upload credits as one-time payments. Purchased credits are non-refundable and may have an expiration period as specified at the time of purchase.

5.3 Cancellation & Refunds

You may cancel your subscription at any time through the billing management portal. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods. Unused credits from cancelled subscriptions expire at the end of the billing period.

5.4 Price Changes

We reserve the right to change pricing at any time. Existing subscribers will be notified at least 30 days before any price increase takes effect on their account.

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, branding, and AI models, is owned by TalkLog and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

6.2 Your Content

You retain ownership of all content you upload or create through the Service, including client data, session recordings, and notes. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service (e.g., transcription and AI analysis).

We do not claim ownership of your content and will not use it to train AI models or share it with third parties except as necessary to provide the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate session analysis, insights, and recommendations. You acknowledge that:

• AI-generated outputs may contain errors or inaccuracies.
• AI analysis is a supplementary tool and does not replace professional judgment.
• You are solely responsible for reviewing and validating AI outputs before using them in your practice.
• We are not liable for decisions made based on AI-generated content.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TalkLog and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination:

• Your right to use the Service ceases immediately.
• We will delete your data within 30 days, in accordance with our Privacy Policy.
• Any outstanding payment obligations survive termination.
• Provisions that by their nature should survive (liability, IP, governing law) will survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
